 Standard Terms of Trade    
  1. These Standard Terms of Trade shall apply to all goods and/or services supplied by way of Purchase Order, Online Sales, General Sales, and any other form of business transaction.
  2. Engaging in business with Jon Grove Engines, whether goods or services constitutes an acceptance of these standard terms of trade.
  3. These Standard Terms of Trade provided by Jon Grove Engines shall supersede any externally supplied Terms of Trade or Terms & Conditions
  4. All goods supplied remain the property of the Jon Grove Engines until payment is received in full.
  5. Jon Grove Engines reserves the right to withhold goods until full payment is received for outstanding invoices.
  6. Return/Refund of products will only be accepted if parts are unused, undamaged in any way, complete as sold, along with copy of receipt of purchase. All refunds are limited to 3 months from the date of purchase.
  7. Supply of Purchase Order constitutes full acceptance of specifications for outlined goods or services at the time & date Purchase Order is supplied. All requested changes/modifications/additions to specifications requested must be outlined on the Purchase Order, or require agreement of such in writing by Jon Grove Engines.
  8. Jon Grove Engines reserves the right to request deposits, part payments, full payment, or change payment terms without notice.
  9. Goods are sold “as is” without any warranty. If the parts were deem unfit for purpose this will be dealt with on a case by case basis.  
  10. Damage or loss of goods in transit is the responsibility of the buyer.
  11. Customer goods are stored at Jon Grove Engines at the sole risk of the customer and/or owner.
  12. Design time charged to customers, is done so on a hire of services basis, and does not constitute any ownership of intellectual property rights or designs.
  13. However, design time done based on only providing the conversion of information into a CAD or Manufacturing drawings is permitted and allows the customer retention of intellectual property rights or design.
  14. Design time on the basis of the customer retaining intellectual property can only be done with Jon Grove Engines being brought in as a contractor. This requires a formal agreement to be signed and approved before any work commences.
  15. Purchase of goods and services does not constitute ownership of design or intellectual property rights of such goods and services.
  16. All intellectual property rights, including without limitation, the right to apply for patents or the registration of designs arising out of design work performed by Jon Grove Engines, remains the sole property of Jon Grove Engines.
  17. The usability of goods manufactured from customer supplied or agreed designs are solely the customers responsibility. The customer indemnifies Jon Grove Engines from any third parties intellectual property claims from the use of such customer supplied designs.
  18. The customer indemnifies Jon Grove Engines against all claims, costs and losses arising from damage to persons or to property due to incorrect application of goods, incorrectly installed or defective goods, whether defective in material, workmanship, design, or labelling.
  19. Any costs incurred by Jon Grove Engines during the process of supplying goods and services shall be passed on to the customer, with full prior disclosure to the customer.
  20. All intellectual property whether customer or Jon Grove Engines owned shall be considered strictly confidential by all parties.
  21. Any work outsourced by Jon Grove Engines must meet all stated and industry standard specifications and instructions agreed to written or verbal. All goods and services must be of merchantable quality, of specified materials, and high standards of workmanship, free of defects and faults.
  22. Jon Grove Engines reserves the right to charge interest on any overdue invoices. Interest rate will be 10% calculated daily, and will be at the discretion of Jon Grove Engines. All overdue accounts will also receive a mandatory $20.00 late payment fee.
  23. In the event of debt recovery being initiated, any legal or recovery costs will be on-charged to the customer.
  24. The buyer shall at all times strictly observe and comply with the legislative requirements of Australia or any State or Territory thereof relating to the goods and/or services provided by Jon Grove Engines. The parties submit to the jurisdiction of the Courts of Western Australia and the laws of Western Australia shall apply to the goods and/or services provided by Jon Grove Engines.
  25. The Buyer & the Seller retain all statutory rights not inconsistent herewith.
  26. All Parts are designed for either Research and Development purposes or for Racing use only.
